Version 2.0. Last updated 8 September 2026. Supersedes all previous versions.

These Terms of Service constitute a binding agreement between you and Even Flow EV Infrastructure. Please read them in full. By registering for an Account, by clicking to accept them, or by using the Platform in any way, you confirm that you have read, understood and agree to be bound by them, together with the Risk Disclosure and the Privacy Policy, each of which is incorporated into this agreement by reference. If you do not agree to these terms, do not open an Account and do not use the Platform.

Important notice. Nothing in these terms constitutes investment, legal, tax or financial advice. Your capital is at risk. Returns are not guaranteed and no figure shown to you on the Platform or on the public website is a promise of any outcome. Section 18 limits our liability to you. Section 22 governs how disputes are resolved. Section 12 explains that no compensation or deposit-protection scheme applies to any amount you place with us.

1. Definitions and interpretation

1.1 In these terms, the following capitalised expressions have the meanings given to them below:

  • "Account" means the registered user account opened by a Partner on the Platform, together with the balances, records and holdings associated with it.
  • "Account Record" means the complete, append-only record of Postings maintained by us in respect of an Account, of which the Transaction History is a subset.
  • "Adjustment" means a Posting made by us to correct an error, to reverse a transaction, or otherwise to give effect to a correction, in each case carrying a stated reason and recorded in the audit log.
  • "Affiliate Reward" means an amount credited to a Partner under section 11 by reference to the Credited Deposits of another Partner within that Partner's Downline.
  • "Available Balance" means that portion of a Partner's balance which is spendable, being the balance excluding Locked Earnings and excluding any amount reserved against a pending Withdrawal Request.
  • "Business Day" means a day other than a Saturday, Sunday or public holiday on which banks are generally open for business in the Governing Jurisdiction.
  • "Credited Deposit" means a Deposit which has been confirmed on the relevant Network and credited to an Account in accordance with section 6.
  • "Deposit" means a transfer of Supported Assets made by a Partner to a Deposit Address quoted to that Partner by the Platform.
  • "Deposit Address" means the blockchain address quoted by the Platform to a Partner for the purpose of making a particular Deposit.
  • "Downline" means, in relation to a Partner, those other Partners who registered using that Partner's referral code, and those who registered using theirs, to a maximum depth of five generations.
  • "Force Majeure Event" has the meaning given in section 20.
  • "Governing Jurisdiction" means the jurisdiction identified in section 22.
  • "Holding" means a commitment of capital by a Partner against Operating Capacity under a particular Tier, opened on the Platform and recorded against the Account.
  • "Locked Earnings" means Payouts accrued in respect of a Holding during its Lock Period, which are held with the capital and are not spendable until released.
  • "Lock Period" means the period, stamped on a Holding when it is opened, during which Payouts accrued in respect of that Holding are treated as Locked Earnings.
  • "Metered" means, in relation to a figure shown on the Platform, that the figure was read from operating equipment rather than modelled.
  • "Network" means a blockchain network supported by the Platform for a given Supported Asset, being at the date of these terms the Bitcoin network, the Tron network (TRC20) and the BNB Smart Chain (BEP20).
  • "Operating Agreement" means the separate contract between us and an Operator under which that Operator manages and commercially operates one or more Stations on our behalf. It is not a lease, it confers no interest in any Station on the Operator, and no Partner is a party to it.
  • "Operating Capacity" means charging infrastructure owned by us and managed by an Operator under an Operating Agreement, expressed as revenue-generating capacity within a Region rather than as an identified physical asset.
  • "Operator" means a third party which manages and commercially operates a Station on our behalf under an Operating Agreement, and which is not a party to these terms.
  • "Partner", "you" means a natural or legal person who has opened an Account.
  • "Payout" means an amount accrued to a Holding in respect of a day's operation of the Operating Capacity to which it is allocated.
  • "Platform" means the Even Flow partner application, its interfaces and the public website at the domains we operate.
  • "Posting" means an entry in the ledger recording a movement of value.
  • "Region" means a geographic operating area designated by us, being at the date of these terms a country in which we own Stations.
  • "Station" means an EV charging site owned by us.
  • "Supported Asset" means a digital asset accepted by the Platform for Deposits and Withdrawals, being at the date of these terms Bitcoin (BTC), Tether (USDT) and USD Coin (USDC).
  • "Tier" means one of the partnership levels published on the Platform, each carrying its own minimum, maximum and rate.
  • "Transaction History" means the list of movements presented to a Partner in the Platform, as described in section 10.
  • "we", "us", "our" means Even Flow EV Infrastructure, its successors and permitted assigns.
  • "Withdrawal Request" means an instruction given by a Partner through the Platform to transfer a stated amount of Available Balance to an address supplied by that Partner.

1.2 In these terms, unless the context otherwise requires: (a) the singular includes the plural and vice versa; (b) a reference to a section is to a section of these terms; (c) headings are for convenience only and do not affect interpretation; (d) "including", "includes" and "in particular" are without limitation; (e) a reference to writing includes email and messages sent through the Platform; and (f) a reference to a statute or statutory provision is a reference to it as amended, extended or re-enacted from time to time.

1.3 If there is any conflict between these terms, the Risk Disclosure and the Privacy Policy, these terms prevail, save that the Risk Disclosure prevails in respect of the description of risk and the Privacy Policy prevails in respect of the processing of personal data.

2. Who we are and what we do

2.1 Even Flow EV Infrastructure finances, builds and owns EV charging Stations across Europe and Asia and appoints Operators to run them commercially under an Operating Agreement. We do not lease our Stations to Operators. Our income from a Station is what that Station earns, after the costs of operating it.

2.2 We retain a portion of each Station’s net revenue and distribute the remainder to the Partners whose capital financed the relevant Operating Capacity. The retained portion funds further construction and the ongoing operation of the business.

2.3 What you acquire is a contractual right against us to a share of revenue. You do not acquire title to any Station, any part of a Station, any land, any equipment, any share or other security in us, or any interest in any Operator. You have no right to possess, inspect, remove or deal with any physical asset, and no right to be registered in respect of any asset.

2.4 You are not our partner in the legal sense, not our agent, not our employee and not a member of any joint venture with us. Nothing in these terms creates a partnership, agency, fiduciary relationship, trust or employment relationship between us.

2.5 We are not a bank, a deposit-taker, a payment institution, an electronic money institution, a fund, a collective investment scheme operator or a licensed investment firm, and we do not hold ourselves out as any of those things.

3. Eligibility

3.1 You may open an Account only if you are at least 18 years of age, have full legal capacity to enter into a binding contract, and are acting on your own behalf and not for or on behalf of any undisclosed third party.

3.2 You may not open or operate an Account if you are resident in, a national of, or otherwise located in any jurisdiction in which your use of the Platform would be unlawful, or in which we do not offer the Platform. It is your responsibility to satisfy yourself that your use of the Platform is lawful where you are.

3.3 You represent and warrant, on opening an Account and on each occasion you use the Platform, that: (a) you are not the subject of any sanctions administered or enforced by any competent authority, and are not owned or controlled by any such person; (b) the funds you use are lawfully yours and are not the proceeds of crime; (c) all information you have given us is true, accurate and complete; and (d) you are not using the Platform for any purpose described in section 15.

3.4 We may refuse to open an Account, and may decline any Deposit or Withdrawal Request, at our discretion and without giving reasons.

4. Your Account and its security

4.1 One person may hold one Account. Accounts are personal to you and may not be sold, transferred, assigned or shared.

4.2 You are responsible for keeping your credentials confidential and for every action taken through your Account. You must notify us immediately at support@evenflowev.com if you suspect any unauthorised access.

4.3 We will never ask you for your password, for a payment, or for a transfer of assets by email, message or telephone. Any communication purporting to do so is fraudulent and should be reported to us.

4.4 We may require you to verify your identity, your address, your telephone number, your country of residence and the source of your funds, at any time and as a condition of continued access, of crediting a Deposit or of executing a Withdrawal Request. We may suspend access to an Account while we do so. Access to the Platform is granted at our discretion and may be restricted or withdrawn where we are required to do so or where these terms are breached.

5. Compliance, sanctions and financial crime

5.1 We are entitled to take any step we consider necessary to comply with applicable law relating to money laundering, terrorist financing, sanctions, fraud and bribery, including freezing an Account, declining a transaction, or making a report to a competent authority.

5.2 Where we are prohibited by law from telling you that we have taken such a step, or the reason for it, we will not do so, and our failure to do so is not a breach of these terms.

5.3 You will provide us promptly with any information or document we reasonably request for these purposes. Failure to do so is a material breach of these terms.

6. Deposits

6.1 Deposits are accepted only in Supported Assets and only on the Networks published on the Platform at the time. A transfer of any other asset, or of a Supported Asset on any other network, may be irrecoverable, and we accept no liability for it.

6.2 When you open a Deposit we quote you a Deposit Address and an exact amount. You must send that exact amount to that address. The amount quoted is the amount by which we identify your transfer. Sending a different amount, or sending to an address quoted for a different Deposit, may delay crediting and may require the Deposit to be identified and credited by other means.

6.3 A Deposit is credited to your Account once the transfer has received the number of confirmations required for the relevant Network. Until then no amount is credited and no Payout accrues.

6.4 Where a Deposit is denominated in a Supported Asset whose value is not pegged to the US dollar, we quote a rate which is held for the period stated on the Platform. A transfer confirming after that period is credited at the rate applying when it confirms.

6.5 A minimum Deposit applies and is published on the Platform. We may change it, and the minimum applying to a Deposit is the one in force when the Deposit is opened.

6.6 Network fees, exchange fees and any other cost of making a transfer to us are yours. We credit what actually arrives.

7. Tiers, Holdings and allocation

7.1 Each Tier has its own minimum, its own maximum and its own rate, each as published on the Platform when you open a Holding. The terms stamped on a Holding when it is opened govern that Holding for its life; a subsequent change to a Tier does not affect a Holding already open.

7.2 A Holding is allocated to Operating Capacity within a Region. You are allocated to capacity, not to an identified Station. Stations are taken out of service for maintenance, returned to service, and varied in capacity, and allocation must remain flexible for that reason. You are told your Region.

7.3 Allocation is not instantaneous. A Holding accrues Payouts from the date it is allocated, and its status is shown to you on the Platform throughout.

7.4 Where a Tier carries a Lock Period, the Lock Period is stamped on the Holding when it is opened, together with the date on which Locked Earnings are released. There is no right to terminate a Holding, or to accelerate the release of Locked Earnings, before that date.

8. Payouts

8.1 Payouts are calculated forward from what the relevant Operating Capacity earned in a day. Operating costs, including maintenance, servicing, energy and staffing, are deducted from gross revenue, and a fixed share of the remainder is distributed to the Partners who financed that capacity. Payouts are accrued daily.

8.2 A Payout accrued in respect of a Holding within its Lock Period becomes Locked Earnings and is not part of your Available Balance until released.

8.3 Every daily figure records the source it came from. A figure marked Metered was read from the equipment; a figure not so marked is modelled from how the relevant capacity is expected to trade. A modelled figure is not a measurement and is not a promise of what you will receive.

8.4 Rates, shares and deduction categories may change prospectively. A change does not apply retrospectively to a Payout already accrued.

8.5 No return is guaranteed. Operating Capacity may earn less than modelled, may earn nothing, and may cease to earn. An Operator may fail to pay. Nothing in these terms obliges us to make any Payout in respect of a period in which the relevant capacity did not earn.

9. Withdrawals

9.1 You may request a withdrawal of your Available Balance to an address you supply, in a Supported Asset and on a Network we support, subject to the minimum, maximum and any periodic limits shown to you when you make the request.

9.2 On submission, the amount requested ceases to form part of your Available Balance and is reserved against the Withdrawal Request.

9.3 Every Withdrawal Request is subject to a security review before it is released. We do not guarantee a settlement time. We may decline a Withdrawal Request, or require further verification before executing it, including where section 5 applies.

9.4 Where a Withdrawal Request is declined, the full amount reserved is returned to your Available Balance, and you are told.

9.5 You are solely responsible for the address you give us. A transfer sent to an address you supplied cannot be recalled by us or by anyone else, whether the address was mistyped, belonged to another person, belonged to an exchange which does not credit it, or was on the wrong Network. We are not obliged to attempt recovery and are not liable for any loss arising from it.

9.6 Network fees are deducted from the amount sent unless the Platform states otherwise at the time of the request.

10. The ledger and your Account Record

10.1 Every movement of value in your Account is recorded as a Posting. Postings are append-only: once made, a Posting is never altered or deleted.

10.2 There is no facility, for you or for us, to set a balance directly. A correction is made by a further Posting, in the opposite direction where appropriate, carrying a stated reason and recorded in the audit log.

10.3 Your Transaction History shows your Deposits, Withdrawals, Payouts and Affiliate Rewards. Adjustments are held in the Account Record and are not listed among your own activity. The consequence is that the movements listed in your Transaction History will not always sum to your balance. You may ask us at any time for any Adjustment affecting your Account and we will provide it.

10.4 We may correct the date recorded against a ledger entry where it was recorded in error. The amount, direction, account and posting of an entry cannot be changed.

11. Affiliate Rewards

11.1 Where a Partner in your Downline funds a Holding, an Affiliate Reward may accrue to you at the rate published for the relevant generation and the Downline Partner's Tier.

11.2 The basis of an Affiliate Reward is the Credited Deposits of the relevant Downline Partner, less any basis already applied. Capital which is reinvested, released from a Lock Period or rolled over does not create a further basis. A basis of nil is an ordinary outcome.

11.3 Affiliate Rewards are funded from our own margin. They do not reduce any Payout due to any other Partner.

11.4 An Affiliate Reward becomes claimable only when all of the following are satisfied: (a) you hold at least one Holding which is not closed; (b) your rank unlocks the generation from which it arose; and (c) the reward's own lock period has elapsed. An accrued Affiliate Reward which is not yet claimable remains visible to you with the reason.

11.5 We may vary the rates, generations, rank thresholds and eligibility conditions prospectively. We may withhold or reverse an Affiliate Reward obtained through self-referral, duplicate accounts, or any other conduct described in section 15.

12. Custody, and the absence of protection

12.1 Reserves are held in cold storage. The Platform holds no private key and is not capable of signing or broadcasting a transaction.

12.2 An amount recorded in your Account is a contractual claim against us. It is not a bank deposit, not client money, not held on trust for you, and not segregated from our own assets.

12.3 No deposit-guarantee scheme, investor-compensation scheme, ombudsman or other statutory protection applies to any amount you place with us. If we become insolvent you may lose the whole of your capital and would rank as an unsecured creditor.

13. Taxes

13.1 You are solely responsible for determining, reporting and paying any tax arising from your use of the Platform, in every jurisdiction in which you are liable. We do not provide tax advice, do not withhold tax on your behalf unless required by law to do so, and give no representation as to the tax treatment of any amount. Where we are required by law to report information about you or your Account to a tax authority, we will do so.

14. Fees

14.1 The fees applying to Deposits, Holdings and Withdrawals, including any hosting fee payable between Tiers, are published on the Platform. We may change them on notice, and a change does not apply to a Holding already open where the fee forms part of the terms stamped on that Holding.

15. Acceptable use

15.1 You must not: (a) use the Platform for money laundering, terrorist financing, sanctions evasion, tax evasion, fraud or any other unlawful purpose; (b) open more than one Account, or open an Account in another person's name or in a false name; (c) attempt to gain unauthorised access to the Platform, any account, or any system connected to it; (d) probe, scan, disrupt, overload or test the vulnerability of the Platform, or circumvent any rate limit or security measure; (e) scrape, copy or reproduce any part of the Platform other than for your own personal record; (f) misrepresent us, the Platform, any Tier, any rate or any return, whether in soliciting a referral or otherwise; (g) present the Platform to any third party as a guaranteed, protected or risk-free arrangement; or (h) use the Platform in any way which interferes with any other Partner's use of it.

15.2 A breach of this section is a material breach of these terms.

16. Suspension, closure and termination

16.1 We may suspend or close an Account, and may suspend access to the Platform, where we reasonably suspect a breach of these terms, where required by law or by a competent authority, where necessary to protect the Platform or other Partners, or where verification requested under section 4.4 or section 5.3 is not provided.

16.2 You may close your Account at any time by writing to us. Closure does not accelerate a Lock Period, and does not entitle you to the release of Locked Earnings before their stated date.

16.3 Sections 1, 2.3, 2.4, 10, 12, 13, 17, 18, 19, 21, 22 and 23 survive termination of this agreement, together with any other provision which by its nature is intended to survive.

17. Intellectual property

17.1 The Platform, its software, its content, our name, our marks and our branding are owned by us or licensed to us. You are granted a limited, personal, revocable, non-exclusive, non-transferable licence to access and use the Platform for the purpose of operating your Account, and nothing further. You may not use our name or marks without our written consent.

18. Warranties and limitation of liability

18.1 The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all representations, warranties, conditions and terms implied by statute, common law or otherwise, including as to merchantability, satisfactory quality, fitness for a particular purpose and non-infringement.

18.2 We aim to keep the Platform available but do not warrant uninterrupted or error-free access. Maintenance, an outage at a third party, a Network congestion event or a Force Majeure Event may interrupt it.

18.3 To the fullest extent permitted by law, we are not liable for: (a) any loss of profit, revenue, anticipated saving, opportunity, goodwill or data; (b) any indirect, special or consequential loss; (c) any loss arising from the performance of any Station, Operating Capacity or Operator; (d) any loss arising from the failure, insolvency or default of any Operator or other third party; (e) any loss arising from a Network, its congestion, its fees, its reorganisation or its failure; (f) any loss arising from an address you supplied; (g) any movement in the value of a Supported Asset; or (h) any loss arising from your failure to keep your credentials secure.

18.4 Our aggregate liability to you in respect of all claims arising out of or in connection with this agreement, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total amount actually credited to your Account by way of Payouts and Affiliate Rewards in the twelve months preceding the event giving rise to the claim.

18.5 Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot lawfully be excluded or limited.

19. Indemnity

19.1 You will indemnify us and keep us indemnified against all liabilities, costs, expenses, damages and losses, including reasonable legal fees, suffered or incurred by us arising out of or in connection with your breach of these terms, your unlawful use of the Platform, or any claim brought by a third party in respect of your conduct.

20. Force majeure

20.1 We are not liable for any failure or delay in performing our obligations where that failure or delay results from an event beyond our reasonable control, including act of God, war, terrorism, civil unrest, epidemic, industrial action, failure of energy supply, failure or congestion of a Network or of the internet, cyber attack, or the act, order or omission of any government or competent authority (a "Force Majeure Event"). Where a Force Majeure Event continues for more than sixty days, either party may terminate this agreement on written notice.

21. Not advice

21.1 Nothing on the Platform, on the public website, in any report, in any communication from us or in these terms is investment, legal, tax, accounting or financial advice, a personal recommendation, or an invitation or inducement to engage in any investment activity. No figure shown to you takes account of your circumstances, objectives or attitude to risk. You should take your own independent advice before committing any capital.

22. Governing law and disputes

22.1 These terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation, including non-contractual disputes or claims, are governed by and construed in accordance with the law of [jurisdiction to be confirmed before launch].

22.2 The courts of that jurisdiction have exclusive jurisdiction to settle any such dispute or claim.

22.3 Before commencing proceedings, you agree to raise the matter with us in writing at support@evenflowev.com and to allow us thirty days to respond. We will acknowledge a complaint within five Business Days and give a substantive response within thirty days, or explain why we cannot and when we will.

23. General

23.1 Changes. We may amend these terms. Where an amendment materially affects you we will give notice before it takes effect. Continuing to use the Platform after that means you accept the amendment. If you do not accept it, you may close your Account, subject to section 16.2.

23.2 Assignment. You may not assign, transfer, charge or otherwise deal with your rights under these terms. We may assign or transfer ours, in whole or in part, on notice to you.

23.3 Set-off. We may set off any amount you owe us against any amount standing to your Account.

23.4 Severability. If any provision is held to be invalid, illegal or unenforceable, it is severed and the remainder continues in full force.

23.5 Waiver. No failure or delay in exercising a right is a waiver of it, and no single or partial exercise prevents any further exercise.

23.6 Entire agreement. These terms, the Risk Disclosure and the Privacy Policy constitute the entire agreement between us and supersede all prior statements, representations and understandings. You confirm that you have not relied on any statement not set out in them, save that nothing limits liability for fraudulent misrepresentation.

23.7 Third parties. A person who is not a party to these terms has no right to enforce any of them.

23.8 Notices. We may give you notice by email to the address registered on your Account, or by a message in the Platform, and notice is deemed given when sent. You must keep your registered email address current. You may give us notice at support@evenflowev.com.

23.9 Electronic communications. You consent to receive communications from us electronically and agree that electronic communications satisfy any legal requirement that a communication be in writing.

23.10 Language. These terms are made in English. Any translation is provided for convenience and the English text prevails.

23.11 Contact. Even Flow EV Infrastructure. Questions about these terms: support@evenflowev.com.
